1. Agreement
These Terms of Service (“Terms”) govern access to and use of the Nursing Approach website, applications, and related services (collectively, the “Platform”). The Platform is operated by the organisation operating Nursing Approach (“we”, “us”, “our”).
By creating an account, accessing the Platform, or using the services, you agree to these Terms and to our Privacy Policy. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, do not use the Platform.
2. The service
Nursing Approach provides software and workflows to support healthcare staffing: for example registration, credential and KYC review, shift posting and acceptance, geofenced or verified attendance, timesheets, approvals, and invoicing or payment facilitation. We are a technology platform—we do not provide clinical care and we are not the employer of healthcare professionals who use the Platform.
Facilities, professionals, and authorized platform operators each have distinct roles. Actual staffing relationships and clinical decisions remain between facilities and professionals, subject to contract and law. We do not guarantee that any shift will be filled or that any particular professional will be available.
3. Accounts and eligibility
You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old to register, unless a parent or guardian supervises use as required by law.
We may suspend or terminate accounts that breach these Terms, pose a security risk, or harm other users or the integrity of the Platform.
4. Payments
Payments, fees, and invoicing may be processed through third-party providers (including Stripe). Your use of payment features is also subject to the payment provider’s terms. We do not store full payment card details on our servers where Stripe or another provider handles card data.
Specific rates, fees, and invoicing rules may be displayed in the Platform or in separate agreements between you and your counterparties.
5. Acceptable use
You agree not to:
- Violate applicable law or third-party rights;
- Upload malware, probe or stress systems without authorization, or attempt unauthorized access;
- Misrepresent identity, qualifications, or affiliation;
- Harass, discriminate, or endanger others;
- Scrape, resell, or exploit the Platform in a way that competes with or disrupts the service;
- Circumvent fees or security controls.
6. Intellectual property
The Platform, branding, and content we provide are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You retain rights in content you submit; you grant us a licence to host, process, and display that content as needed to operate the service, in line with our Privacy Policy.
7. Disclaimers
The Platform is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement except where such disclaimers cannot be excluded. We do not warrant uninterrupted or error-free operation.
8. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Platform. Our total aggregate liability arising from these Terms or the Platform in any twelve-month period is limited to the greater of (a) the fees you paid to us for the Platform in that period, or (b) one hundred U.S. dollars ($100), except where liability cannot be limited by law (including death or personal injury caused by negligence, or fraud).
9. Indemnity
You agree to indemnify and hold harmless Nursing Approach and its officers, directors, and employees from claims, damages, and costs (including reasonable legal fees) arising from your use of the Platform, your content, or your breach of these Terms, except to the extent caused by our gross negligence or wilful misconduct.
10. Changes and termination
We may modify these Terms or the Platform. We will post updated Terms and may notify you of material changes. Continued use after changes constitutes acceptance. We may terminate or restrict access with reasonable notice where practicable.
11. Governing law
These Terms are governed by the laws of the United States and the state in which Nursing Approach is incorporated, without regard to conflict of law principles. You agree that any dispute arising from these Terms or the Platform will be brought exclusively in the state and federal courts located in that state (and the federal district that includes them), and you consent to personal jurisdiction there, except where applicable law requires a different forum.
